1. Agreement to these terms
These Terms of Service form an agreement between you and Adpie. By accessing our website, submitting an onboarding request, creating an account or using an Adpie service, you agree to these terms. If you use Adpie for a business or other organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation.
If you do not agree, do not use the service.
2. Eligibility and accounts
You must be legally capable of entering into a binding agreement and must use Adpie primarily for business purposes. You are responsible for providing accurate account information, keeping credentials confidential and promptly notifying us of suspected unauthorised access. You are responsible for activity performed through your account unless caused by our failure to use reasonable care.
3. The Adpie service
Adpie connects authorised advertising and commerce data, presents performance information and may generate scores, diagnoses, creative analysis, personas, strategies, alerts and conversational answers. We may improve, add, remove or change features over time. We will take reasonable steps to avoid materially reducing paid functionality during an active subscription without notice where practicable.
4. Connected services and your authorisation
You may choose to connect third-party services such as Meta Ads, Google Ads, TikTok Ads or Shopify. You authorise Adpie to access and process the data made available under the permissions you grant, only to provide, secure and improve the requested service and as otherwise described in our Privacy Policy.
You are responsible for maintaining valid rights and permissions to the connected accounts and data. Third-party services remain governed by their own terms and may change, restrict or discontinue their APIs. We are not responsible for third-party outages, decisions or data accuracy outside our reasonable control.
5. Your data and permitted use
You retain ownership of data and materials you submit or connect to Adpie (“Customer Data”). You grant us a limited, non-exclusive licence to host, copy, transmit, transform and otherwise process Customer Data only as necessary to provide, secure, support and improve the service, comply with law and follow your documented instructions.
You confirm that you have all rights and lawful bases necessary for Adpie to process Customer Data. Do not submit unlawful material or special-category, health, biometric, payment-card or other highly sensitive data unless we have expressly agreed in writing to support it.
6. AI and performance outputs
Adpie outputs are generated from available data, configured rules and automated systems. They may be incomplete, delayed or inaccurate. Scores, diagnoses, forecasts, strategies and chatbot responses are decision-support tools, not professional, financial or legal advice.
Advertising results depend on many factors outside Adpie’s control. References to ROAS improvements, setup time or other performance examples are illustrative and are not guarantees. You remain responsible for reviewing outputs, budgets, campaign changes, legal compliance and business decisions before acting.
7. Acceptable use
You must not:
- use Adpie unlawfully, fraudulently or to infringe another person’s rights;
- access data, accounts or systems without permission;
- upload malware, disrupt the service, bypass security or probe for vulnerabilities without written authorisation;
- reverse engineer or copy protected portions of the service except where the law does not permit that restriction;
- resell or provide the service to third parties unless your plan or a written agreement allows it;
- use automated methods to extract the service or train a competing model or product; or
- use outputs to make solely automated decisions that produce legal or similarly significant effects on individuals without appropriate human review and lawful authority.
8. Fees, subscriptions and taxes
Paid plans, billing periods, usage limits and prices will be shown in an order, checkout or written proposal. Unless stated otherwise, fees are exclusive of applicable taxes and are non-refundable except as required by law or expressly stated in the applicable order. We will give reasonable notice of changes that affect a renewing subscription. Failure to pay an undisputed amount may result in restricted or suspended access after notice.
9. Our intellectual property
Adpie and its licensors retain all rights in the service, software, designs, documentation, brands and underlying technology. Except for the limited right to use the service under these terms, no rights are transferred to you. If you provide feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.
10. Confidentiality
Each party may receive non-public business, technical or commercial information from the other. The receiving party must use reasonable care to protect it and may use it only for the relationship under these terms. This obligation does not apply to information that is public without breach, independently developed, lawfully received from another source or required to be disclosed by law.
11. Suspension and termination
You may stop using Adpie at any time and may cancel a subscription in accordance with the applicable order. We may suspend or terminate access where reasonably necessary to address a security threat, unlawful use, material breach, non-payment or risk to other users. Where practicable, we will give notice and an opportunity to remedy the issue.
On termination, your right to use the service ends. Provisions that by their nature should continue—including payment obligations, intellectual property, confidentiality, disclaimers and liability limits—survive. Data export and deletion will be handled under the applicable plan, agreement and Privacy Policy.
12. Warranties and Australian Consumer Law
Nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law. Subject to those rights, the service is provided on an “as available” basis and we do not promise uninterrupted operation, compatibility with every third-party service or a particular advertising outcome.
13. Liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or loss of profits, revenue, goodwill or data, arising from these terms. Where liability cannot be excluded but can be limited, Adpie’s aggregate liability arising out of the service is limited to the fees you paid to Adpie for the affected service during the 12 months before the event giving rise to the claim.
These limits do not apply to fraud, wilful misconduct, infringement of the other party’s intellectual property, breach of confidentiality, your payment obligations or liability that cannot lawfully be limited.
14. Governing law
These terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them. Before commencing formal proceedings, each party should first try in good faith to resolve the dispute by written notice and reasonable discussion, except where urgent relief is required.
15. Changes and contact
We may update these terms to reflect service or legal changes. We will post the revised terms with an updated date and provide additional notice for material changes where appropriate. Continued use after the effective date means the revised terms apply.
